Kwacko Solutions Private Limited is a technology company registered in India, providing a range of digital services including custom website development, mobile application development, custom software development, web application development, e-commerce solutions on platforms such as WordPress, Shopify, and other technologies, UI/UX design, digital marketing, and related IT consulting services. 2. Acceptance of Terms

By visiting our website, submitting an inquiry, signing a service agreement, or making a payment, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions along with our Privacy Policy and Refund & Cancellation Policy, which are incorporated herein by reference.

These Terms apply to all visitors, users, clients, and any other persons who access or use our services. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. Services Offered

Kwacko Solutions Private Limited offers but is not limited to the following services:

  • Mobile Application Development – Native and cross-platform apps using React Native, Flutter, Swift, and Kotlin.

  • Web Application Development – Feature-rich, scalable web apps using full-stack technologies.

  • AI/ML Development – Artificial Intelligence and Machine Learning integrations and solutions.

  • IT Consulting – Technology strategy and consulting services.

The specific scope, deliverables, timelines, and pricing of each project are defined in a separate Service Agreement, Statement of Work (SOW), or Project Proposal provided to the client before project commencement.

4. Client Responsibilities

To enable us to deliver services effectively, clients agree to:

  • Provide accurate, complete, and timely information, content, assets, and feedback required for project execution.
  • Designate a primary point of contact who is authorized to make decisions on behalf of the client organization.
  • Review and provide feedback on deliverables within the timelines specified in the project agreement.
  • Make payments on time as per the agreed payment schedule.
  • Ensure that all materials, content, logos, images, or third-party resources provided to Kwacko are legally owned or licensed by the client, and do not infringe upon any third-party rights.
  • Not request or demand changes that fall outside the agreed project scope without a formal change request process.

Delays in providing required materials or feedback by the client may result in corresponding project timeline extensions, for which Kwacko shall not be held liable.

5. Payment Terms

  • All service fees are quoted in INR (Indian Rupees) or USD as specified in the project proposal.
  • Payments are typically structured in milestones (e.g., advance payment, mid-project payment, and final payment upon delivery), as agreed upon in the project contract.
  • An advance/retainer is required before project commencement, typically ranging from 30% to 50% of the total project value.
  • Invoices are due within the payment period specified in the invoice (typically 7 to 15 business days).
  • Delayed payments may attract a late fee as specified in the project agreement or applicable at a rate of 1.5% per month on the outstanding amount.
  • Kwacko reserves the right to pause or halt work on a project if payments are not received within the agreed timeframe.
  • All applicable taxes including GST (Goods and Services Tax) shall be charged additionally as per Indian tax law.

6. Intellectual Property Rights

Upon full and final payment of all amounts due under the project agreement, Kwacko Solutions Private Limited transfers all intellectual property rights in the custom-developed deliverables (including source code, design files, and documentation) to the client, unless otherwise agreed upon in writing.

Third-Party Components: The project may incorporate open-source libraries, frameworks, third-party plugins, APIs, or licensed software. These components remain subject to their respective licenses. Kwacko makes no claim of ownership over such third-party components and the client is responsible for compliance with their respective license terms.

Kwacko's Pre-Existing IP: Any proprietary tools, frameworks, templates, methodologies, or intellectual property developed or owned by Kwacko prior to or independently of the project shall remain the exclusive property of Kwacko.

Portfolio Use: Unless explicitly restricted in writing by the client, Kwacko reserves the right to display the completed project in its portfolio, case studies, and marketing materials.

All content on this website — including text, graphics, logos, icons, images, and software — is the property of Kwacko Solutions Private Limited and is protected under applicable copyright and intellectual property laws. Unauthorized reproduction, redistribution, or commercial use is strictly prohibited.

7. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the engagement. This includes but is not limited to business strategies, technical specifications, financial information, client data, and trade secrets.

Confidentiality obligations shall survive the termination of any agreement and shall remain in effect for a period of three (3) years following project completion or termination, unless otherwise specified in a signed Non-Disclosure Agreement (NDA).

8. Project Timelines & Delays

Kwacko will make every reasonable effort to deliver projects within the agreed timelines. However, timelines may be affected by:

  • Delays in receiving client-side inputs, feedback, approvals, or assets.
  • Changes to project scope requested by the client.
  • Force majeure events such as natural disasters, government actions, or other events beyond reasonable control.
  • Third-party delays (e.g., domain registrars, payment gateways, app store reviews).

Kwacko shall not be held liable for project delays caused by factors outside its reasonable control or due to client-side delays.

9. Warranties & Disclaimer

Kwacko warrants that all services will be performed with reasonable skill and care in accordance with industry standards. Deliverables will conform to the agreed specifications outlined in the project agreement.

We do not warrant that our website or services will be uninterrupted, error-free, or free from viruses or other harmful components. The website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, to the fullest extent permitted by applicable law.

Kwacko does not guarantee specific business outcomes, revenue targets, search engine rankings, or app store rankings resulting from the use of its services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Kwacko Solutions Private Limited and its directors, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Losses arising from unauthorized access or breaches caused by third-party actors.
  • Damages resulting from reliance on information provided on our website.

In no event shall Kwacko's total cumulative liability to any client exceed the total fees paid by that client for the specific service giving rise to the claim, in the three (3) months preceding the date the claim arose.

11. Termination

Either party may terminate a project agreement by providing written notice as specified in the respective agreement. Upon termination:

  • The client shall pay for all work completed up to the date of termination.
  • Kwacko shall deliver all completed work and related files to the client upon receipt of full outstanding payment.
  • Refund and cancellation requests are not accepted under any circumstances, as per our Refund & Cancellation Policy.

Kwacko reserves the right to immediately terminate services if the client violates these Terms, engages in fraudulent activity, or fails to make payments despite reminders.

12. Use of Website

You agree that you will not use this website to:

  • Upload, transmit, or distribute any content that is unlawful, harmful, abusive, defamatory, or infringes third-party rights.
  • Attempt to gain unauthorized access to our systems or networks.
  • Engage in scraping, data mining, or any automated data collection from this website without express permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Transmit any unsolicited commercial communications (spam).

13. Third-Party Links & Integrations

Our website may contain links to third-party websites, tools, or services for your convenience. 14. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services provided by Kwacko, the parties agree to first attempt to resolve the dispute amicably through good-faith negotiation within thirty (30) days of written notice.

If such negotiation fails, disputes shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

15. Amendments to These Terms

Kwacko Solutions Private Limited reserves the right to modify, update, or replace these Terms and Conditions at any time at its sole discretion. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our website or services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
